FedEx files Form 10 for planned spin-off of FedEx Freight

The filing with the US SEC marks progress towards separating FedEx Freight into an independent company by June 2026.;

FedEx has filed a Form 10 registration statement with the United States Securities and Exchange Commission for the planned spin-off of its FedEx Freight business, taking a key step towards separating the unit into an independent company. The separation is on track to be completed by 1 June 2026, subject to customary approvals.

The Form 10 registration statement is now available on the SEC’s website and on FedEx’s investor relations site. FedEx said the filing marks strong progress towards launching FedEx Freight as a focused industry leader in less-than-truckload freight.

Raj Subramaniam, president and chief executive officer of FedEx, said the separation will create two world-class companies and position both FedEx and FedEx Freight to better serve their customers and unlock value for stockholders. John Smith, incoming president and chief executive officer of FedEx Freight, described the filing as a key milestone on the company’s journey to independence.

The Form 10 highlights how FedEx Freight plans to use its national network, industry scale and flexible service model to strengthen customer relationships and deliver competitive transit times and reliability in the less-than-truckload market. It also outlines a focused commercial and operational strategy, technology investments and efforts to drive profitable growth and disciplined capital allocation.

FedEx Freight is North America’s largest less-than-truckload carrier, with nearly 30,000 vehicles, 39,000 team members and about 355 service centres across the United States, Canada, Mexico, Puerto Rico and the U.S. Virgin Islands. After the spin-off, the business is expected to trade on the New York Stock Exchange under the ticker symbol “FDXF”.

An investor day is scheduled for 8 April 2026 in New York City, when the leadership team will share more details on FedEx Freight’s business and future plans
